We are seeking a highly motivated and experienced Corporate Counsel to anchor our commercial contracting operations. You will be the primary legal architect driving our B2B commercial pipeline, managing high-volume, high-value subscription agreements with enterprise clients.
You’ll own key risk areas across contracts, including limitation of liability and data privacy, with a special focus on Master Services Agreements. Because IPQS operates on the frontline of transactional security, you’ll also serve as a primary legal advisor for anti-fraud and risk mitigation product lines, helping ensure that terms, product features, and operations align with industry best practices and global compliance standards.
What you’ll do
- Draft, review, and negotiate complex Master Services Agreements, Statements of Work, Service Level Agreements, and enterprise subscription agreements.
- Develop market-standard positions on complex contractual provisions, including indemnification, structural limitation-of-liability terms, supercaps, and warranties.
- Partner directly with Sales, Procurement, and Executive leadership to accelerate deal cycles while protecting the company from systemic legal exposure.
- Draft and negotiate Data Processing Agreements while supporting compliance with GDPR, CCPA/CPRA, and evolving state-level privacy statutes.
- Coordinate with Product, Security, and Engineering teams to review third-party data flows, user-consent mechanisms, and AI and machine-learning data-processing parameters.
- Advise internal teams on risk thresholds, chargeback liabilities, and legal frameworks surrounding automated fraud detection.
- Help ensure the platform aligns with major payment-network rule sets, including Visa and Mastercard, as well as KYC/AML guidelines and consumer-protection laws.
- Manage legal enforcement strategies related to bad actors, platform abuse, systemic fraud syndicates, and credential stuffing.
What you’ll bring
- A Juris Doctor degree from an accredited law school.
- Active membership in good standing with a State Bar association. Florida Bar membership is preferred.
- Three to five or more years of corporate-law practice, including at least two years in-house at a fast-growing B2B SaaS company.
- Deep, independent experience negotiating enterprise software-as-a-service agreements with institutional procurement teams.
- A proven record handling advanced liability caps, Data Processing Agreements, and anti-fraud or fintech legal frameworks.
- Strong technical literacy, particularly around cloud architecture, API integrations, and how data is transferred or cached.
- Experience with the Salesforce case-management process for legal or deal-desk work.
- Exceptional communication skills and the ability to turn complex risk matrices into clear, actionable advice for non-legal business stakeholders.
- A proactive, commercial approach to problem-solving that treats legal as a business enabler rather than a gatekeeper.
